Terms of Service

Please read these Terms of Service ("Terms") carefully before using Tidaly ("Service"), operated by Tidaly Inc. ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

Tidaly is a SaaS (Software as a Service) platform designed for commercial cleaning companies. The Service provides tools including, but not limited to: quote generation, client management, team scheduling, invoicing, churn prediction, financial analysis, job forecasting, and operational dashboards.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

2. Account Registration & Eligibility

To use the Service, you must create an account and provide accurate, complete, and current information. You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

You are responsible for safeguarding your account credentials and for all activity that occurs under your account. Notify us immediately at support@tidaly.io if you suspect unauthorized access to your account.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or pose a risk to the Service or other users.

3. User Obligations

By using the Service, you agree not to:

  • Use the Service for any unlawful purpose or in violation of any regulations
  • Attempt to reverse-engineer, decompile, or extract the source code of the Service
  • Upload or transmit malicious code, viruses, or any disruptive material
  • Engage in data scraping, harvesting, or unauthorized access to other users' data
  • Impersonate any person or entity or misrepresent your affiliation
  • Use the Service to send spam, unsolicited messages, or engage in phishing
  • Circumvent any security features or access controls of the Service

You are solely responsible for all data, content, and activity conducted through your account. We reserve the right to remove any content that violates these Terms.

4. Subscription & Payment Terms

The Service is offered on a subscription basis. By subscribing, you authorize us (via our payment processor, Paddle) to charge your selected payment method at the start of each billing period. Subscription fees are non-refundable except as described in our Refund Policy.

Prices are subject to change. We will provide at least 30 days' notice before any price increase takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

All payments are processed securely by Paddle, who acts as the Merchant of Record for all transactions. Paddle's terms and privacy policy govern the payment processing relationship.

If a payment fails, we may suspend access to your account until the outstanding balance is resolved. We will notify you by email before suspending access.

5. Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@tidaly.io. Cancellation takes effect at the end of the current billing period. You will retain access to the Service until that date.

We may cancel or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay applicable fees. In such cases, no refund will be issued for any remaining subscription period.

Upon cancellation, your data may be retained for up to 90 days before being permanently deleted, in accordance with our Privacy Policy. You may request an export of your data before deletion.

6. Intellectual Property

The Service, including all software, designs, text, graphics, and other content, is the exclusive property of Tidaly Inc. and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

You retain ownership of all data and content you upload to the Service. By using the Service, you grant us a limited, non-exclusive license to process and store your data solely for the purpose of providing the Service.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Tidaly Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption, arising out of or related to your use of or inability to use the Service.

Our total cumulative liability to you for any claims arising out of or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 USD.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Indemnification

You agree to indemnify, defend, and hold harmless Tidaly Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party rights.

9. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved informally by contacting us at legal@tidaly.io. If informal resolution fails after 30 days, disputes shall be resolved by binding arbitration under the rules of the American Arbitration Association.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
